1. Introduction

Exit Engine, LLC (“Company,” “we,” “our,” or “us”) is committed to transparency about how we use artificial intelligence (“AI”) in our business and in the services we provide to you. This AI Technology Disclosure (“Disclosure”) explains what AI tools we use, how we use them, what data is processed by AI systems, and what safeguards we have in place to protect your information and ensure accuracy.

This Disclosure supplements our Privacy Policy and Website Terms of Use, which are available on our website at exit-engine.com. In the event of a conflict between this Disclosure and our Privacy Policy regarding the handling of your personal data, the Privacy Policy controls.

We may update this Disclosure from time to time as our AI practices evolve. Changes will be reflected in the “Last Updated” date above. We encourage you to review this Disclosure periodically.

2. How We Use Artificial Intelligence

We use AI tools in two broad categories: (a) client-facing services, where AI directly assists in generating deliverables for you, and (b) internal operations, where AI assists our team with business functions that may indirectly involve your information.

Client-Facing AI Use

Client-Facing Deliverables. Where AI is used in the services we provide to you, business and financial information you submit may be processed by a third-party large language model (“LLM”) to assist our team in:

  • Analyzing the financial data you provide, including revenue, expenses, profitability trends, and balance sheet information.
  • Identifying comparable businesses and relevant market data to contextualize your business’s performance.
  • Synthesizing quantitative and qualitative factors into a preliminary valuation analysis.
  • Generating narrative sections of reports, including summaries of financial performance, key value drivers, and risk factors.
  • Drafting communications and summaries in connection with the services.

Important: AI-generated analysis is a starting point, not a final product. Every AI-assisted client deliverable is reviewed, edited, and supplemented by our human team before delivery. No AI-generated report is sent to a client without human review and approval.

Internal and Operational AI Use

In addition to client-facing use, we may use AI tools to support internal business operations, including but not limited to:

  • Content creation: Drafting and editing marketing materials, website content, educational articles, email campaigns, and social media posts.
  • Customer communications: Assisting in drafting responses to inquiries, preparing follow-up communications, and generating summaries of client interactions.
  • Research and analysis: Conducting market research, analyzing industry trends, and synthesizing information from public sources to support our advisory services.
  • Administrative tasks: Summarizing documents, preparing internal reports, and other operational tasks that improve efficiency.

When AI is used for internal operations that involve your personal data (such as summarizing a client interaction), the same data protection commitments described in this Disclosure apply.

3. What Data Is Processed by AI

Services That Use AI

For services that use AI, the following categories of data may be submitted to our AI service provider for processing:

  • Questionnaire responses, including information about your business, industry, operations, and growth plans.
  • Financial data, including revenue figures, expense breakdowns, profit and loss statements, balance sheets, and tax return data.
  • Uploaded documents, including financial statements, tax returns, and other business records you provide.
  • Business metadata, including industry classification, geographic location, employee count, and years in operation.

What is NOT submitted to AI: We take reasonable steps to minimize the inclusion of your full name, email address, phone number, home address, payment information, and other personal contact details in AI processing prompts used for the purpose of generating client-facing deliverables. Personal contact information is stored in our internal systems and, where feasible, is separated from business and financial data before AI processing.

Services That Do Not Use AI

Some of our services do not currently involve AI processing of your data. If we begin using AI in connection with a service that does not currently use AI, we will update this Disclosure accordingly.

4. How Data Flows Through Our AI Systems

When AI is used to process your data in connection with our services, the data flow follows these steps:

  • Step 1 — You submit information. You provide your business and financial information through our secure intake process (questionnaire and document upload).
  • Step 2 — We prepare the data. Our team reviews your submission for completeness and prepares the data for analysis. Personal contact details are separated from the business and financial data before AI processing.
  • Step 3 — AI processing. Business and financial data is transmitted to our AI service provider through a secure, encrypted API connection. The AI analyzes the data and generates a preliminary analysis.
  • Step 4 — Human review. Our team reviews the AI-generated analysis for accuracy, completeness, and appropriateness. The team edits, supplements, and revises the analysis based on professional judgment and additional research.
  • Step 5 — Delivery. The finalized deliverable is provided to you. It reflects both AI-assisted analysis and human professional judgment.

5. Data Protection and Security

We take the following measures to protect your data when it is processed by AI systems:

  • No model training. We use AI providers that have agreed not to train, improve, or fine-tune their AI models on client data submitted through Exit Engine. Your business and financial data is processed solely to generate your requested analysis and is not retained by the AI provider for any other purpose.
  • Encryption in transit. All data transmitted to and from our AI service provider is encrypted using industry-standard HTTPS/TLS encryption protocols.
  • API-only access. Data is transmitted through a secure application programming interface (API). Your data is not entered into any consumer-facing AI chatbot, public interface, or shared environment.
  • Access controls. Only authorized members of our team have access to submit data to the AI service provider. Access is limited to those who need it to perform the requested service.
  • Data minimization. We submit only the data necessary to generate the requested analysis. Personal contact details, payment information, and other data not relevant to the business valuation analysis are excluded from AI processing.
  • Retention by AI provider. Under our agreement with our AI service provider, data submitted through the API is retained by the provider only for a limited period necessary to process the request and provide abuse monitoring, after which it is deleted in accordance with the provider’s data retention policies.

6. Accuracy, Limitations, and Human Oversight

AI is a powerful analytical tool, but it has inherent limitations. We want you to understand both what AI can and cannot do in the context of our services:

  • AI assists, it does not decide. AI-generated analysis is one input into our process. Our human team exercises independent professional judgment in preparing your deliverables. AI does not make valuation determinations, and no AI output is delivered as a final client deliverable without human review.
  • AI can make mistakes. Large language models can produce outputs that are inaccurate, incomplete, or inconsistent. This is why every AI-assisted deliverable goes through human review. Our team checks AI outputs against the source data you provide, industry benchmarks, and professional standards.
  • Not professional advice. AI-generated analysis, whether reviewed by our team or not, does not constitute legal, tax, accounting, financial, or investment advice, and is not a fairness opinion. Our deliverables are provided for informational and planning purposes only, as described in our Website Terms of Use and applicable service-specific terms.
  • Outputs depend on inputs. The quality and accuracy of AI-generated analysis depends on the quality, accuracy, and completeness of the information you provide. If the data you submit is incomplete, outdated, or inaccurate, the resulting analysis will reflect those limitations.
  • No guarantee of accuracy. While we take commercially reasonable steps to ensure the accuracy of our deliverables, we do not guarantee that any AI-assisted output is error-free. See our Website Terms of Use for applicable disclaimers and limitations of liability.

7. Your Rights and Choices

We believe you should have informed choice about how your data is processed. The following rights and options are available to you:

  • Right to know. You have the right to know whether AI was used in generating any deliverable we provide to you. If you would like confirmation of whether AI tools were used in preparing your specific report or service, contact us and we will provide that information.
  • Right to request human-only processing. For services where human-only processing is feasible, you may request that your deliverable be prepared without the use of AI tools at the time you place your order by contacting us at info@exit-engine.com. Human-only processing is not available for services where AI is integral to the service design. Where human-only processing is available, it will generally result in a longer delivery timeline and a materially different fee, which we will quote to you before proceeding.
  • Right to deletion. You may request that we delete your personal data from our systems, subject to our legal retention obligations. For details on how to exercise this right, see our Privacy Policy.
  • Right to ask questions. If you have any questions about how AI is used in our services or how your data is processed, we welcome your inquiries. Contact us using the information provided below.

8. Changes to Our AI Practices

As AI technology evolves, our practices may change. We are committed to the following principles as our AI use develops:

  • Transparency. We will update this Disclosure to reflect material changes in how we use AI, what data we process, or which AI service providers we use. Material changes will be communicated through an updated “Last Updated” date and, where appropriate, additional notice on our website.
  • Human oversight. We will maintain meaningful human oversight of AI-generated outputs in client-facing deliverables. We will not fully automate the preparation of professional analyses or other client deliverables without human review.
  • Data protection. We will continue to require that any AI service provider we use does not train its models on client data submitted through Exit Engine, and we will maintain commercially reasonable security measures for data transmitted to AI systems.
  • Purpose limitation. We will use AI to enhance the quality and efficiency of our services, not to replace the professional judgment that underlies them. For professional services and advisory deliverables, AI is a tool in our process, not a substitute for expertise. Certain self-service tools (e.g., free instant estimates) may be fully automated and are clearly marked as such.
  • Regulatory compliance. We monitor evolving federal and state regulations regarding the use of AI in professional and financial services and will update our practices and this Disclosure as required by applicable law.
