Introduction and Scope

Exit Engine, LLC (“Company,” “we,” “our,” or “us”) respects your privacy and is committed to protecting it through our compliance with this policy. This policy describes how we collect, process, retain, and disclose personal data about you when providing services to you through our website, applications, products, and services that link to this policy (our “Services”) and our practices for using, maintaining, protecting, and disclosing that information.

This policy applies to information we collect:

  • Through the Services, including our website at exit-engine.com.
  • In communications, including email, text, chat, and other electronic messages, between you and the Services.
  • Through third-party platforms and tools we use to deliver the Services, as described in this policy.

It does not apply to information collected by:

  • Us through any other means, including on any other website operated by Company or any third party that does not link to this policy.
  • Any third party, including through any application or content (including advertising) that may link to or be accessible from or through the Services.

We may provide additional or different privacy policies that are specific to certain features, services, or activities, including service-specific Terms of Service for other specific services provided.

Please read this policy carefully to understand our policies and practices regarding your information and how we treat it. By interacting with our Services or providing us with your information, you agree to the collection, use, and sharing of your information as described in this privacy policy. This policy may change from time to time (see Changes to Our Privacy Policy). Your continued use of the Services after we make changes as described here is deemed to be acceptance of those changes, so please check the policy periodically for updates.

Children’s and Minors’ Data

Our Services are not intended for, and we do not knowingly collect any personal data from, children under the age of 18. If we learn we have collected or received personal data from a child under 18 years old without verification of parental consent, we will delete that information.

The Personal Data That We Collect or Process

“Personal data” is information that identifies, relates to, or describes, directly or indirectly, you as an individual, such as your name, email address, telephone number, home address, or payment information.

The types and categories of personal data we collect or process include:

  • Account and contact information, including your name, email address, phone number, business name, business address, and other contact information you provide to us.
  • Business and financial information, including revenue figures, expense data, profit and loss statements, balance sheets, tax returns, operational metrics, employee counts, industry classifications, and other information about your business that you submit through our questionnaires, upload to our Services, or provide through authorized third-party accounting platform integrations. This category may include information classified as sensitive personal data under applicable law.
  • Payment information, including credit card or debit card information. Payment details are collected and processed by our third-party payment processor. We do not receive or store your full credit card numbers.
  • Questionnaire and assessment responses, including your answers to our service questionnaires, intake questionnaires, and any other forms or assessments you complete through our Services.
  • Device information, including your IP address, device identifiers, operating system and version, browser type and settings, and other device information.
  • Content and communications, including information you elect to provide through our contact form, emails, chats, or other communications sent to us, as well as documents you upload in connection with the Services.

We also collect:

  • Statistics or aggregated information. Statistical or aggregated data does not directly identify a specific person, but we may derive non-personal statistical or aggregated data from personal data. For example, we may aggregate personal data to calculate the percentage of users accessing a specific Services feature.
  • Technical information. Technical information includes information about your internet connection and usage details about your interactions with the Services, such as clickstream information to, through, and from our Services (including date and time), pages viewed or searched, page response times, download errors, length of your visits to certain pages, page interaction information (such as scrolling, clicks, and mouse-overs), and methods used to browse away from a page.

If we combine or connect non-personal statistical or technical data with personal data so that it directly or indirectly identifies an individual, we treat the combined information as personal data.

Some of the information identified above, including business financial information, may be considered sensitive data under certain laws. If required under applicable law, we will collect and process sensitive personal data only with your consent. If you choose not to provide or allow us to collect some information, we may not be able to provide you with requested features, services, or information.

How We Collect Your Personal and Other Data

You Provide Information to Us

We collect information about you when you interact with our Services, such as when you:

  • Complete service questionnaires (inclufing those collected through a third-party form hosting provider).
  • Submit information and documents for any services.
  • Provide information through a third-party business planning platform in connection with our services.
  • Authorize a connection to your accounting software through third party platforms used as part of our services.
  • Submit a contact form on our website.
  • Make a purchase or payment for our Services.
  • Communicate with us by email, phone, or other means.

Automatically Through Our Services

As you navigate through and interact with our Services, we may use automatic data collection technologies to collect information that may include personal data. Information collected automatically may include usage details, IP addresses, operating system, browser type, and information collected through cookies, web beacons, and other tracking technologies, including details of your interactions with our Services such as traffic data, location data, logs, and other communication data, and which resources and Services features that you access and use.

The technologies we use for this automatic data collection may include:

  • Cookies. A cookie is a small file placed on your device when you interact with the Services. You may refuse to accept or disable cookies by activating the appropriate setting on your browser or device. However, if you select this setting, you may be unable to access certain features of the Services.
  • Web Beacons. Some parts of the Services and our emails may contain small electronic files known as web beacons (also referred to as clear gifs, pixel tags, and single-pixel gifs) that permit the Company, for example, to count users who have visited those parts or opened an email and for other related statistics.
  • CAPTCHA Verification. We use a third-party CAPTCHA verification service on certain forms to prevent automated spam submissions. This service may collect hardware and software information, such as device and application data, and send it to the service provider for analysis. Your use of the CAPTCHA service is subject to the service provider’s own privacy policy and terms of service.

To the extent any of these automated technologies are considered a personal data sale, targeted advertising, or profiling under applicable laws, depending on where you live, you may opt out from use of these automated technologies for such uses by contacting us at info@exit-engine.com. Please note that some Services features may be unavailable as a result.

From Third-Party Platforms and Service Providers

We may receive personal data about you from other sources and combine that with information we collect directly from you. For example:

  • Form and questionnaire hosting provider: When you complete our questionnaires, your responses and contact information are collected through a third-party form hosting provider and transferred to our systems and our CRM platform.
  • Business planning platform: When you use our services, your business information may be entered into and processed through a third-party SaaS business planning platform.
  • Accounting software integration: If you authorize a connection between your accounting software and our business planning platform as part of our services, financial data (including transaction history, profit and loss data, and balance sheet information) is imported from your accounting software into the business planning platform and is accessible to Exit Engine. You may revoke this authorization at any time through your accounting software’s account settings.

How We Use Your Information

We use information that we collect about you or that you provide to us, including any personal data, to:

  • Provide you with the Services and any contents, features, information, products, or services that we make available through the Services.
  • Fulfill and manage purchases, payments, and service delivery.
  • Fulfill any other purpose for which you provide it.
  • Communicate with you about your request or order, deliver results, and respond to your questions or customer support inquiries.
  • Improve our Services, including by analyzing your information and creating aggregated data derived from your information to develop, maintain, analyze, improve, optimize, measure, and report on our Services and their features and how users interact with them.
  • Process your information using artificial intelligence tools. Financial information, questionnaire responses, and uploaded documents submitted for the services may be processed using third-party artificial intelligence tools, specifically a large language model, to analyze and synthesize data, identify patterns and comparables, and assist in generating reports. AI-generated analysis is reviewed and supplemented by our human team before delivery. Data submitted to our AI service provider through Exit Engine is not used by that provider for AI model training.   • Send you marketing and promotional communications about our services, educational content, newsletters, and promotional materials (with your consent where required by applicable law). You can opt out of marketing emails at any time using the unsubscribe link in our emails or by contacting us at info@exit-engine.com.
  • Carry out our obligations and enforce our rights arising from any contracts entered into between you and us, including for billing and collection.
  • Notify you when Services updates are available and about changes to any products or services we offer or provide through them.
  • Comply with applicable laws, regulations, legal processes, or enforceable governmental requests; protect the rights, property, and safety of Exit Engine, our users, or others; and detect, prevent, and address fraud, security issues, or technical problems.

In any other way we may describe when you provide the information, or for any other purpose with your consent.

The usage information we collect, whether connected to your personal data or not, helps us improve our Services and deliver a better and more personalized experience by enabling us to estimate our audience sizes and usage patterns, store information about your preferences, speed up your searches, and recognize you when you return to our Services.

Who We Disclose Your Information To

We do not sell your personal data. We may disclose aggregated information about our users, and information that does not identify any individual, without restriction.

We may also disclose personal data that we collect or you provide as described in this privacy policy:

  • Service Providers. To contractors, service providers, and other third parties we use to support our organization and who are bound by contractual obligations to keep personal data confidential and use it only for the purposes for which we disclose it to them. The categories of service providers we use include:
    • Payment processors for processing transactions related to our Services.
    • Form and questionnaire hosting providers for collecting information.
    • Artificial intelligence service providers for data analysis and report generation in connection with the services. Data transmitted to our AI service provider is processed through a secure API. Exit Engine has taken commercially reasonable steps to ensure that our AI service provider does not use client data submitted through Exit Engine for AI model training.
    • Business planning and analytics platform providers for our services, including dashboard hosting, data processing, and accounting software integration.
    • Accounting software providers whose platforms may be integrated with our services with your authorization.
    • CRM and email marketing platforms for managing communications and marketing campaigns.
    • CAPTCHA verification and website analytics providers for spam prevention and website performance monitoring.
  • Business Transfers. To a buyer or other successor in the event of a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of Exit Engine, LLC’s assets, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding, in which personal data held by Exit Engine is among the assets transferred. We will provide notice to you before your personal data is transferred and becomes subject to a different privacy policy.
  • Business Professionals (with Consent). If you engage us for services beyond the initial assessment (for example, brokerage or advisory services), we may share relevant information with our in-house employees and affiliated professionals, and, with your express written consent, with our external network of professionals (such as analysts, advisors, brokers, or consultants) who assist in providing those extended services. In-house employees and affiliated professionals are subject to written confidentiality obligations as a condition of their engagement with us. External third-party professionals will be required to execute confidentiality agreements before receiving your information.
  • Legal Compliance and Protection. To comply with any court order, law, or legal process, including to respond to any government or regulatory request. To enforce or apply our Terms of Service and other agreements, including for billing and collection purposes. If we believe disclosure is necessary or appropriate to protect the rights, property, or safety of our organization, our clients, or others.
  • To fulfill the purpose for which you provide it, for any other purpose disclosed by us when you provide the information, or with your consent.

The categories of personal data we may disclose to service providers include: account and contact information, business and financial information, payment information, questionnaire and assessment responses, device information, and content and communications.

Your Rights and Choices About Your Information

This section describes mechanisms you can use to control certain uses and disclosures of your information and rights you may have under state law, depending on where you live.

Advertising, Marketing, Cookies, and Tracking

  • Cookies and Other Tracking Technologies. You can set your browser to refuse all or some browser cookies or other tracking technology files, or to alert you when these files are being sent. If you disable or refuse cookies or similar tracking files, some Services features may be inaccessible or not function properly. Some browsers include a “Do Not Track” (DNT) setting that can send a signal to the online services you visit indicating you do not wish to be tracked. Because there is not a common understanding of how to interpret the DNT signal, our Services may not respond to all browser DNT signals. Instead, you can use the range of other tools to control data collection and use, including the cookie controls described in this policy.
  • Marketing Communications. If you do not wish us to use your information to send you marketing or promotional communications about our services, you can opt out at any time by using the unsubscribe link in our marketing emails or by sending us an email stating your request to info@exit-engine.com. Opting out of marketing communications will not affect service-related communications.

Your State Privacy Rights

Depending on your state of residency, you may have certain rights related to your personal data, including:

  • Access and Data Portability. You may confirm whether we process your personal data and access a copy of the personal data we process. To the extent feasible and required by state law, data will be provided in a portable format.
  • Correction. You may request that we correct inaccuracies in your personal data that we maintain, taking into account the information’s nature and processing purpose.
  • Deletion. You may request that we delete personal data about you that we maintain, subject to certain exceptions under applicable law.
  • Opt Out of Using Personal Data for Targeted Advertising, Profiling, and Sales. You may request that we do not use your personal data for these purposes. As noted above, we do not sell your personal data.

Important: The exact scope of these rights varies by state. There are also several exceptions where we may not have an obligation to fulfill your request.

To appeal a decision regarding a consumer rights request, please contact us at info@exit-engine.com with the subject line “Privacy Rights Appeal.” You may also designate an authorized agent to submit a privacy rights request on your behalf. If an authorized agent submits a request, we may require verification that the agent has been properly authorized to act on your behalf, which may include a signed written authorization or a power of attorney. We will respond to your request within the timeframe required by applicable law, and in no event later than forty-five (45) days of receipt of your verified request. If we require additional time (up to ninety (90) days total), we will inform you of the reason and extension period in writing.

Global Privacy Control

Some browsers and browser extensions support the Global Privacy Control (“GPC”) that can send a signal to process your request to opt out from certain types of data processing, including data “sales” as defined under certain laws. When we detect such a signal, we will make reasonable efforts to respect your choices indicated by a GPC setting as required by applicable law.

Nevada Residents

Nevada provides its residents with a limited right to opt out of certain personal data sales. Residents who wish to exercise their sale opt-out rights may submit a request to info@exit-engine.com. However, please know we do not currently sell data triggering that statute’s opt-out requirements.

California Residents

If you are a California resident, you have specific rights under the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA), including the right to know what personal information we collect, the right to request deletion of your data, the right to correct inaccurate personal information, the right to opt out of any “sale” or “sharing” of your data (as noted, we do not sell or share personal data for cross-context behavioral advertising), the right to limit the use and disclosure of sensitive personal information, and the right to not be discriminated against for exercising these rights. Utah Residents

If you are a Utah resident, you have rights under the Utah Consumer Privacy Act (UCPA), including the right to access your personal data, the right to request deletion, the right to data portability, and the right to opt out of the processing of personal data for targeted advertising or the sale of personal data. To exercise your rights under the UCPA, please contact us using the methods described above.

How We Protect Your Personal Data

We use commercially reasonable administrative, physical, and technical measures designed to protect your personal data from accidental loss or destruction and from unauthorized access, use, alteration, and disclosure. These measures include encryption of data in transit (HTTPS/TLS), secure cloud storage with encryption at rest for uploaded documents, and access controls limiting access to personal data to only those employees and service providers who need it to operate our Services.

When your data is transmitted to third-party service providers, it is transmitted via encrypted connections. We require our service providers to maintain appropriate security measures to protect your data.

However, no website, mobile application, system, electronic storage, or online service is completely secure, and we cannot guarantee the security of your personal data transmitted to, through, using, or in connection with the Services. Any transmission of personal data is at your own risk. The safety and security of your information also depends on you. You are responsible for taking steps to protect your personal data against unauthorized use, disclosure, and access. In the event of a data breach affecting your personal data, we will notify you as required by applicable law.

How We Retain Your Personal Data

We keep the categories of personal data described in this policy for as long as reasonably necessary to fulfill the purposes described or for as otherwise legally permitted or required. In general, we retain personal data for the longer of: (a) the period needed to provide services to you, (b) the period needed to comply with our tax, accounting, and legal retention obligations, or (c) the limitations period for any claim that could arise from our services.

At the end of the applicable retention period, personal data will be deleted, destroyed, or deidentified using industry-standard data destruction methods. You may request information about our specific retention periods or request earlier deletion of your data by contacting us at info@exit-engine.com, subject to our legal retention obligations.

Changes to Our Privacy Policy

We may update this policy from time to time, and we will provide notice of any such changes to the policy as required by law. The date the privacy policy was last updated is identified at the top of the page. We will notify you of changes to this policy by updating the “last updated” date and posting the updated policy on the Services. For material changes that affect your rights, we will provide you with prominent notice as appropriate under the circumstances, such as by displaying a prominent notice on our website or sending you an email notification at least thirty (30) days before the changes take effect. You should check our Services periodically to see the current policy and any changes we have made to it. Your continued use of our Services after the effective date of any changes to this privacy policy will signify your acceptance of those changes. If you do not agree to the modified terms, you should discontinue use of our Services.
