The Exit Roadmap will provide a sequential plan for business action items and benchmarks to accelerate exit readiness and maximize your business’s valuation.
We will hold quarterly accountability calls to ensure progress will be made along the Exit Roadmap.
We upload, organize, and maintain a cloud storage data room with restricted access to simplify and make smooth your exit.
We will work with you to create an Exit Story to prime the pump for maximum interest in your business when you go to market.
We will research potential buyers of your business through a combination of research tools and our vast networks of buyers. You will have an opportunity to review the buyer target list and eliminate any potential conflicts, and then we will contact the buyers.
We will prepare a detailed presentation package to distribute to potential buyers of your business. Our delivery of these materials will inform the buyers you are professionally represented and provide the buyer with the necessary information to make an informed and competitive offer.
We will respond to questions and provide preliminary responses to buyer requests for data. This may also include scheduling calls and meetings with you and selected management team members.
The marketing process will ultimately lead to soliciting offers from the interested parties that have responded to the outreach. We then set offer deadlines.
We will create an after-tax exit proceeds model to compare various offers and inform future negotiations.
We will assist buyers with their development and presentation of a Letter of Intent (LOI) that will describe all terms in detail. We will work with you to determine value metrics the Buyer uses in establishing their offer price and terms.
Reduction in tax consequence for a transaction is determined at the LOI stage. We will coordinate with your trusted tax and legal professionals (or introduce you to ours) to assess your current tax structure and basis to determine the ideal selling structure.
We will coordinate all responses to due diligence performed by the Buyer. Our team reviews diligence response items to avoid conflicting information that could otherwise allow a Buyer to propose price reductions or altered terms.
We create a dual-level diligence response with a Seller-only “Sandbox” for gathering diligence response items. We then upload, organize, and maintain a cloud storage data room with restricted access provided to the Buyer.
You will need to engage an attorney to review the buyer’s first draft of legal documents and represent you in negotiating these definitive agreements. And while selecting an experienced attorney is important, we are also conscious of the fees they charge. Our services complement their expertise while allowing them to remain efficient and allowing you to stay on good terms with a buyer.
We will take the lead role in preparing these schedules on behalf of your company, including gathering necessary information and coordinating with your attorney to incorporate these schedules into the definitive agreement. This saves your attorney’s time with the schedules and reduces related fees.
We will identify and calculate all closing adjustments and closing pay-offs, instruct all wire transfers, and direct bank funding in the final flow of funds
